01Provider and scope
These Terms of Use govern your use of Lyearn's Model Context Protocol ("MCP") integration, including its connectors and plugins for supported AI applications and services (collectively, the "Integration"), provided by Lyearn Inc. ("Lyearn," "we," or "us").
The Integration connects a Lyearn workspace to a supported AI application or service that you choose to connect ("AI Service"). The provider or operator of that AI Service is referred to as the "AI Provider". These terms apply to supported connections regardless of the AI Provider or underlying AI model. These terms describe the conditions for using that connection.
By accepting these terms, you agree to follow them when using the Integration. If you do not agree, do not connect or use it.
02Existing customer agreements
Your organisation may have a separate agreement for Lyearn services ("Customer Agreement"), including an agreement with a Lyearn entity other than Lyearn Inc.
These terms do not amend, replace, or override that agreement or any applicable data-processing agreement. They do not change the contracting entity, subscription, fees, confidentiality obligations, service commitments, or other negotiated rights and obligations.
These terms do not independently authorise a use or disclosure of information that an applicable agreement prohibits or requires additional approval for.
Accepting these terms does not automatically extend a Customer Agreement's liability limitations, warranties, indemnities, governing law, or dispute-resolution provisions to Lyearn Inc. or the Integration. Whether those provisions apply depends on the relevant agreement and applicable law.
03Eligibility and organisational authorisation
You must have an authorised Lyearn account and permission to use the Integration with the workspace you connect.
Before connecting organisational information, you must obtain any approval your organisation requires for using the Integration and the selected AI Service account or workspace.
An individual user's acceptance of these terms does not, by itself, establish authority to bind their organisation, amend its agreements, or approve disclosures on its behalf.
You must not connect a workspace where the integration is prohibited or required approvals have not been obtained.
04Features and access
Depending on your permissions and enabled features, the Integration can retrieve company knowledge, people and organisation information, learning resources and activity, productivity scores, and analytics.
Connecting the Integration does not grant additional workspace permissions. Available information and actions depend on your account, your organisation's configuration, and the capabilities enabled for the connection.
Supported organisation changes are saved as drafts or proposals for an authorised person to review in Lyearn. The Integration does not publish those changes from chat.
A request in chat is not confirmation that an action succeeded. Check the returned result and, where appropriate, verify the resulting record in Lyearn.
05Permitted use
You may use the Integration only for lawful purposes within your existing access rights and organisational authorisation.
You must not:
- Access, request, disclose, or distribute information without authorisation.
- Share credentials, impersonate another person, or bypass access controls.
- Probe another organisation's workspace or attempt to access its information.
- Extract credentials, introduce malicious content, or compromise systems.
- Interfere with service operation or evade usage restrictions.
- Use information for unlawful discrimination, harassment, surveillance, or other unlawful purposes.
Technical access to information does not necessarily authorise every use or disclosure of it.
06Information exchanged with AI Services
To fulfil requests, the Integration receives tool requests from the connected AI Service, processes them through Lyearn, and returns relevant results to that AI Service.
When your organisation enables the Integration and you authorise a connection, information returned in response to your requests is transmitted from Lyearn to the connected AI Service. Depending on the enabled capabilities and your access permissions, this may include company knowledge, people and organisation information, learning resources and records, productivity information, analytics, and other workspace data. This information may include personal information and confidential company information.
Your organisation's administrator controls the permissions and capabilities available to you. Your requests determine which information is retrieved within those limits. Only connect and use the Integration with the authorisation your organisation requires, and only request information that your organisation permits to be processed in the AI Service environment you use.
Technical access to information or authorising a connection does not override Customer Agreements, source-service restrictions, or other applicable requirements. Do not assume that account permissions alone constitute approval to disclose information to another provider or service.
The AI Service is operated separately from Lyearn. Its processing of prompts, conversations, and returned information depends on the terms, privacy arrangements, and settings applicable to your AI Service account or workspace.
07Privacy and deletion
Information about Lyearn's handling of personal information is available in the Lyearn Privacy Policy: https://lyearn.com/privacy-policy. Applicable Customer Agreements and data-processing agreements remain unchanged.
These terms do not establish new retention periods, deletion deadlines, data-residency commitments, or model-training permissions.
Disconnecting the Integration does not itself delete information previously returned to an AI Service or retained in a conversation with that service or remove records from the Lyearn workspace. Requests concerning information held by each provider must follow that provider's applicable procedures.
For help with Lyearn-held information or revoking access, contact support@lyearn.com.
08Accuracy and human review
AI-generated explanations, summaries, and recommendations may be inaccurate, incomplete, or outdated. Underlying workspace records may also contain gaps.
Verify important outputs against the relevant source records before relying on them. Missing information or an unavailable score must not be interpreted as a confirmed fact or a score of zero.
Do not use Integration outputs as the sole basis for employment, compensation, performance, disciplinary, or other consequential decisions. Appropriate human review, organisational procedures, and applicable legal requirements continue to apply.
09Ownership and confidentiality
Connecting or using the Integration does not transfer ownership of workspace information, Lyearn technology, or third-party materials.
Use and sharing of retrieved information remain subject to applicable ownership rights, confidentiality obligations, organisational policies, and law.
These terms do not grant Lyearn new rights to use workspace information for unrelated purposes.
10Availability and fees
The Integration depends on Lyearn, the connected AI Service, and the connection between them. Availability and features may be affected by maintenance, service interruptions, permission changes, or changes to supported platforms.
These terms do not create an uptime guarantee or additional service-level commitment. Any existing contractual commitments remain applicable according to their scope.
These terms do not authorise new charges or change agreed Lyearn subscription fees. AI Service subscription and usage charges are governed separately by your arrangements with the applicable AI Provider.
11Disconnection and restriction of access
You may stop using the Integration and disconnect it through the connection controls available in your connected AI Service account or workspace. Contact Lyearn support if you need help revoking access.
Subject to applicable agreements and law, Lyearn may restrict Integration access where reasonably necessary to address a security threat, unauthorised use, or unlawful activity.
Any applicable contractual requirements concerning notice, suspension, and restoration remain unchanged.
Disconnecting the Integration does not, by itself, terminate a Lyearn subscription or delete workspace records.
12Changes to these terms
Updated terms will identify their effective date. Any required notice or acceptance will be handled in accordance with applicable law and relevant contractual requirements.
Publishing revised Integration terms does not amend a Customer Agreement or replace its agreed amendment procedures.
13Rights preserved
Nothing in these terms excludes rights or limits liability where doing so would be prohibited by applicable law.
These terms do not introduce a new liability cap, indemnity, arbitration requirement, or choice of governing law.
